These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and Bridgit Finmart Private Limited (“Bridgit”, “we”, “us”, or “our”) with respect to your access and use of our website www.bridgit.club, mobile application, products, tools, content, and associated services (collectively, the “Platform”).

Please read these Terms carefully before using the Platform. By accessing, registering, or using the Platform, you confirm that you understand, agree to, and accept all the terms contained herein. If you do not agree, please do not use or access the Platform.

1. About Bridgit

Bridgit is a technology platform that provides users access to curated investment solutions, primarily mutual fund portfolios, built using data-driven algorithms based on risk profile, investment horizon, and financial goals. Bridgit is not a SEBI-registered investment advisor or portfolio manager. Investments on the Platform are executed through SEBI-registered intermediaries, including Registered Mutual Fund Distributors and Transaction Platforms.

2. Eligibility

You must be a natural person resident in India, at least 18 years of age, and legally competent to enter into a binding contract under applicable Indian laws. The Platform is intended for personal, non-commercial use only.

By accessing the Platform, you represent and warrant that:

  • You meet the eligibility criteria above.

  • All information provided by you is true, accurate, current, and complete.

  • You will maintain and update such information to keep it accurate and complete.

3. Registration and Account Security

To access investment services, you must complete registration, including KYC verification as per SEBI and AMFI guidelines. You agree to:

  • Maintain the confidentiality of your login credentials.

  • Be fully responsible for all activity under your account.

  • Notify us immediately of any unauthorized access or suspected breach.

Bridgit reserves the right to suspend or terminate your account if any information provided is inaccurate or if your use violates these Terms.

4. Nature of Services

Bridgit provides technology-based tools to assist users in discovering and investing in mutual fund portfolios aligned with their goals and risk profile.

You acknowledge that:

  • Bridgit does not provide personalized financial advice or recommend specific securities.

  • Model portfolios and projections are illustrative and do not guarantee returns.

  • Investments are routed through SEBI-registered intermediaries; Bridgit does not hold or manage customer funds directly.

  • All investment decisions are made at your sole discretion.

5. Third-Party Services

Bridgit partners with third-party service providers, including RTAs, fund houses, payment gateways, KYC providers, and transaction platforms to deliver services. While we take reasonable steps to partner with reputed entities, Bridgit is not responsible for any losses, delays, or failures caused by such third-party systems.

You agree to be bound by the terms of use and privacy policies of such third parties, where applicable.

6. Investment Risks and Disclaimers

Investments in mutual funds are subject to market risks, including potential loss of capital. Please read all scheme-related documents (SID, SAI, KIM) before investing.

You understand and agree that:

  • Bridgit does not guarantee any returns or capital protection.

  • Past performance is not indicative of future results.

  • Asset allocation and projections are based on publicly available data and assumptions, which may not materialize.

You are advised to consult a qualified financial advisor for personalized guidance.

7. Fees and Charges

Bridgit may receive distribution commissions from AMCs for facilitating mutual fund investments. These charges do not affect the NAV or value of units allotted to you and are disclosed in accordance with SEBI guidelines.

Bridgit does not charge any direct fees to users unless expressly notified and consented to.

8. License and Intellectual Property

Bridgit grants you a limited, non-transferable, non-exclusive, revocable license to use the Platform for personal use only.

All content, including text, images, algorithms, software, designs, trademarks, and logos on the Platform is the intellectual property of Bridgit or its licensors. Unauthorized use, copying, or distribution is strictly prohibited.

9. User Conduct

You agree not to:

  • Use the Platform for unlawful, fraudulent, or abusive purposes.

  • Transmit viruses or attempt to gain unauthorized access to any system or data.

  • Reverse-engineer, copy, or modify the Platform.

  • Interfere with the security or integrity of the services.

We reserve the right to terminate your access without notice if you breach this section.

10. Privacy and Data Use

Your personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the collection, storage, and processing of your data as described in the Privacy Policy.

Bridgit uses bank-grade encryption and best practices to protect your data, but cannot guarantee absolute security.

11. Platform Availability and Updates

While we strive for uninterrupted access, we do not guarantee that the Platform will be available at all times. The Platform may be unavailable due to scheduled maintenance, system upgrades, or unforeseen outages.

Bridgit reserves the right to add, modify, suspend, or discontinue any feature or part of the Platform at any time.

12. Limitation of Liability

To the fullest extent permitted by law, Bridgit shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from:

  • Your use of or inability to use the Platform.

  • Errors, bugs, or interruptions in service.

  • Unauthorized access to your data.

  • Investment decisions or losses made through the Platform.

Our total liability shall not exceed ₹1,000 or the fees received by Bridgit from you in the preceding 12 months, whichever is lower.

13. Indemnity

You agree to indemnify and hold harmless Bridgit, its affiliates, directors, officers, and employees from any claims, losses, damages, liabilities, and expenses arising from:

  • Your breach of these Terms.

  • Your use or misuse of the Platform.

  • Violation of any applicable laws or rights of third parties.

14. Amendments

Bridgit reserves the right to update or modify these Terms at any time. Updated versions will be published on the Platform with a revised "Effective Date." Continued use after changes constitutes your acceptance of the revised Terms.

15. Termination

Bridgit may suspend or terminate your access to the Platform at any time, with or without notice, if you violate these Terms or if required by applicable law or regulator.

You may discontinue use of the Platform at any time by deleting your account.

16. Arbitration

Any disputes, differences, controversies and questions directly or indirectly arising at any time hereafter between the Parties or their respective representatives or assigns, arising out of or in connection with this Agreement (or the subject matter of this Agreement), including, without limitation, any question regarding its existence, validity, interpretation, construction, performance, enforcement, rights and liabilities of the Parties, or termination (“Dispute”) thereof shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended (“Arbitration Act”). The Dispute shall be referred to a sole arbitrator Sh. Rajan Malhotra. The language of the arbitration shall be English. The seat of the arbitration shall be at Delhi, and the language of proceedings shall be English. The award rendered shall be in writing and shall set out the reasons for the arbitrator’s decision. The costs and expenses of the arbitration shall be borne equally by each Party, with each Party paying for its own fees and costs, including attorney fees, except as may be determined by the arbitration tribunal. Any award by the arbitration tribunal shall be final and binding.
